Contract research and development agreement

This contract research and development agreement template is typically used in an intercompany transaction between an owner of an intangible asset and a group company that is engaged to further develop and/or maintain the intangible asset. This type of agreement is essentially a form of subcontracting for research and development services, since there is a hierarchy between the parties involved.

This agreement template is used to state the rights and responsibilities of the parties to the agreement and to substantiate the at arm’s length character of the transaction between a typical developer/principal and contractor. In this research and development agreement it is stated, amongst other things, which activities are carried out by which party, which of the parties becomes the owner of the developed intangibles as a result of the contractor’s activities, fees for the activities undertaken, record keeping, duration and (consequences of) termination and indemnification.
