Intangible property transactions

Cross-border transactions within multinational enterprises involving intangible property (“IP”) can be grouped into three major categories, namely (i) acquisition or sale, (ii) licensing and (iii) R&D cost sharing. In an acquisition or sale, a transfer of legal ownership takes place. Licensing involves the contractual right to use certain IP (e.g. the use of certain patents or a brand name), but without a transfer of legal ownership in the IP. Finally, R&D cost sharing deals with the joint development and/or utilization of IP.
